Terms of Service
This is a translation of the German AGB. The contract language is German; if the versions differ, the German version prevails.
for the use of the software-as-a-service solution BrickConnect
1. Scope, provider
- These Terms apply to all contracts for the use of BrickConnect (website getbrickconnect.com and web app app.getbrickconnect.com, the "Service") between Gödecke Reich GmbH, De-Saint-Exupéry-Straße 10, 60549 Frankfurt am Main (the "Provider") and its customers.
- Deviating, conflicting or supplementary terms of the customer do not become part of the contract, even if the Provider does not expressly object to them.
2. Businesses only
- The Service is offered exclusively to businesses (entrepreneurs within the meaning of § 14 of the German Civil Code, BGB), legal entities under public law and special funds under public law. Consumers within the meaning of § 13 BGB may not use the Service.
- When signing up, the customer expressly confirms that they act in the course of their trade, business or profession ("I act as a business"). The Provider stores this declaration with a timestamp. The Provider may request reasonable evidence (e.g. business registration, VAT ID) and may terminate the contract without notice if the declaration is incorrect.
3. Description of the Service
- BrickConnect is web-based software for LEGO® resellers to manage and synchronise inventory and orders across several sales platforms (e.g. BrickLink, BrickOwl, eBay, Shopify, WooCommerce). The specific features are set out in the plan description on the website that is valid when the contract is concluded.
- The Provider makes the Service available over the internet. No software is provided for installation.
- The Provider may further develop the Service and change features, provided that the agreed core scope of the booked plan is not materially reduced.
4. Contract formation and free trial
- The contract for the trial is concluded when sign-up is completed.
- New customers can try the Service free of charge for 14 days without providing payment details. The trial ends automatically; there are no costs and no renewal unless the customer books a paid plan. After the trial, access may be limited to read-only.
- A paid contract is concluded when the customer selects a plan in the Service and completes the order process with the payment provider Stripe by clicking "subscribe" (or a button with equivalent wording).
5. Prices and payment
- The prices shown on the website at the time of booking apply. All prices are net plus the applicable statutory VAT; for customers in other EU member states with a valid VAT ID the reverse-charge procedure applies.
- Fees are payable monthly or annually in advance, depending on the billing period selected, and are collected via Stripe. Invoices are provided electronically.
- If the customer is in default of payment, the Provider may suspend access after prior notice until payment is made. Further claims remain unaffected.
- The Provider may change prices with at least six weeks' notice, effective from the start of the next billing period. The customer is notified in text form and may terminate the contract with effect from the date the change takes effect; the notice will point this out. Agreed special conditions (e.g. "Founding member" prices) remain unaffected for the promised period.
6. Term and termination
- Subscriptions run for the selected billing period (one month or one year) and renew automatically for the same period unless terminated.
- The customer may terminate at any time with effect from the end of the current billing period, in particular via the customer portal under "Billing" or by email to support@ledfoto.de. The Provider may terminate with one month's notice to the end of a billing period.
- The right to terminate for good cause remains unaffected.
- Fees already paid for a current period are not refunded pro rata in the event of ordinary termination.
- After the contract ends, the customer can export their data or request an export for 30 days; the data is then deleted (see DPA).
7. Availability
- The Provider aims for an availability of 99% averaged over the year. Excluded are announced maintenance windows, scheduled outside main business hours where possible, and disruptions outside the Provider's control, in particular outages or restrictions of third-party platform APIs, the internet, or force majeure.
- Any higher availability or service level agreement (SLA) only applies if separately agreed in writing.
8. Third-party platforms and synchronisation
- The Service uses interfaces (APIs) of third-party platforms such as BrickLink, BrickOwl, eBay, Shopify and WooCommerce. Their availability, features, rate limits and terms of use are outside the Provider's control and may change at any time. The Provider will follow such changes with reasonable effort but does not owe support for a particular platform beyond its actual availability.
- The customer is responsible for complying with the platforms' terms of use and for the security and validity of their credentials.
- Stock synchronisation is automated and subject to technical delays. The Provider cannot guarantee that overselling is prevented in every case, e.g. with simultaneous sales on several platforms or during a platform outage. The customer checks orders before shipping under their own responsibility.
9. Customer obligations
- The customer ensures that data they enter or import from platforms is correct and that they are entitled to have it processed.
- The customer keeps their access credentials secret and informs the Provider without delay of any suspected misuse.
- The customer additionally backs up business-critical data under their own responsibility, e.g. via the export functions of the Service or the platforms.
- The customer does not misuse the Service, in particular not to overload the systems, for automated access outside the provided interfaces, or for unlawful purposes.
10. Data protection and processing on behalf
Where the Provider processes personal data on behalf of the customer (in particular data of the customer's buyers), the Data Processing Agreement (DPA) applies, which is concluded by accepting these Terms. Otherwise the Privacy Policy applies.
11. Rights of use
- For the term of the contract, the customer receives a simple, non-transferable right to use the Service within the booked plan for their own business purposes.
- All rights in the Service remain with the Provider. The customer's data remains the property of the customer.
12. Liability
- The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and to the extent of any guarantee given.
- In the case of slight negligence, the Provider is only liable for breach of a material contractual obligation (cardinal obligation), i.e. an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the customer may regularly rely. In this case liability is limited to the foreseeable damage typical for the contract, and per year of damage to no more than the total fees paid by the customer in the twelve months before the damaging event.
- Within the scope of paragraph 2, liability for lost profits, lost savings and indirect damage, in particular resulting from incorrect or delayed synchronisation, overselling or price changes, is excluded.
- For loss of data, the Provider is only liable for the effort that would have been required for recovery had the customer backed up data properly (section 9(3)).
- Strict liability for defects existing at the time the contract is concluded (§ 536a(1) alt. 1 BGB) is excluded.
- The above limitations also apply in favour of the Provider's employees and agents.
13. Changes to these Terms
The Provider may amend these Terms with effect for the future where this is required by changes in law, case law, technical developments or new features and does not unreasonably disadvantage the customer. Changes are notified in text form at least six weeks before they take effect. If the customer does not object before they take effect, the changes are deemed accepted; the notice will point out this consequence and the right to object and terminate. Changes to the main obligations require the customer's consent.
14. Final provisions
- The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- To the extent legally permitted, the exclusive place of jurisdiction for all disputes arising from this contract is Frankfurt am Main (the Provider's registered office).
- The contract language is German. Translations are for information only; if they differ, the German version prevails.
- Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The statutory provisions replace the invalid provision.
